Our Business & Tax Planning and Corporate Finance Department works with clients to develop timely, practical and cost effective solutions to their business and tax planning challenges. We provide advice for planning corporate and individual transactions in cooperation with client’s accountant, personal financial advisor and estate planner. These services also include an analysis of the international, federal, and state income, estate, and gift tax implications and the consequences for our clients.

We have extensive experience with C and S corporations, partnerships, limited liability companies, and tax exempt organizations. We review with our client the choices available to select the appropriate legal structure for their particular needs, their tax objectives, and their asset protection strategies. We will also complete and file all of the necessary documents to form the company, register the business, and obtain all applicable licenses.

After a business is established, we can draft essential director and shareholder resolutions, maintain corporate minutes and records, and prepare annual reports. We can also act as a registered agent and arrange for the business to be qualified in other states.

As the business progresses, we can negotiate and prepare all contracts to protect the legal interests of our clients in their commercial relations with their suppliers, customers, and other interested parties. We offer, for example, agreements to transfer or license technology, to franchise the business enterprise, to create domestic or international joint ventures and wholly owned subsidiaries, and to design deferred compensation or incentive stock plans for executives and employees.

When the business is ready to expand, we can guide the client through the complex procedures to financing business growth with debt or equity capital and to comply with all securities laws, statutes, rules, and regulations.

In addition, we assist our clients achieve their business objectives while minimizing possible adverse tax consequences associated with mergers, acquisitions, reorganizations, recapitalizations, dissolutions, and redemptions of businesses and interests. During this process, we will examine, structure, and document the transaction. We will also prepare and review agreements for all related matters including the sale, lease, and exchange of real estate.

We can prepare a buy-sell agreement for the harmonious continuity of ownership and management and the future disposition of the owners’ respective interests. We can also recommend to the client a business succession or exit strategy to transfer ownership to other family members, management groups, or separate parties.
